1. Acceptance of Terms
By accessing or using the AuraOS platform and the Aura Privé service (collectively, the "Service"), operated by Privé International ("Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must discontinue use of the Service immediately. Your continued access to or use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
2. Description of Service
AuraOS is an AI-powered technology platform developed by Privé International. The Service provides an intelligent concierge interface ("Aura") that assists users with travel coordination, lifestyle management, and premium service discovery through voice-based and text-based interactions. The Service includes, but is not limited to, booking facilitation for private aviation, yacht charters, ground transportation, dining reservations, hospitality arrangements, and related luxury experiences.
Privé International is not a direct or indirect air carrier, yacht charter operator, ground transportation provider, or financial services provider. The Company operates exclusively as a technology platform. All aircraft charters, yacht charters, ground transportation, and related advisory services initiated through the Service are arranged and fulfilled exclusively by independent, legally authorized third-party operating partners, each subject to their respective regulatory authorities, licensing requirements, and terms of service.
3. Eligibility
You must be at least 18 years of age and possess the legal capacity to enter into a binding agreement to use the Service. By accessing or using the Service, you represent and warrant that you meet these eligibility requirements. Accounts registered by automated means or by individuals who do not satisfy the foregoing requirements are unauthorized and will be terminated without notice.
4. Account Registration and Security
Access to certain features of the Service requires the creation of an account through our supported authentication providers. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. Privé International shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
5. Membership Tiers and Subscriptions
The Service offers multiple membership tiers, each with distinct features, service levels, and pricing structures. Subscription fees are billed in accordance with the plan selected at the time of enrollment. Where free trial periods are offered, such trials will automatically convert to paid subscriptions at the applicable rate unless cancelled prior to the expiration of the trial period. You may manage your subscription, including cancellation, through your account settings or by contacting our support team. Cancellation will take effect at the end of the current billing period.
6. Payments, Billing, and Refunds
All payments are processed securely through Stripe, Inc. By providing payment information, you authorize Privé International to charge the applicable fees to your designated payment method. All fees are denominated in United States dollars unless otherwise specified. Refund eligibility is governed by the specific terms of each booking or service arrangement and the policies of the applicable third-party service provider. Disputed charges must be raised within thirty (30) days of the transaction date. Privé International reserves the right to modify pricing with reasonable advance notice.
7. Third-Party Services and Operating Partners
The Service facilitates access to services provided by independent third-party vendors and operating partners, including but not limited to aircraft charter operators, yacht charter companies, ground transportation providers, hotels, restaurants, and experience providers. Privé International acts solely as a technology intermediary and assumes no responsibility for the quality, safety, legality, availability, or performance of any third-party service. Your engagement with any third-party service provider is governed exclusively by that provider's own terms of service, conditions of carriage, cancellation policies, and applicable regulatory requirements.
Privé International makes no representations or warranties regarding the licensing status, insurance coverage, or regulatory compliance of any third-party operating partner. Users are encouraged to independently verify the credentials and terms of any service provider prior to confirming a booking or entering into a contractual arrangement.
8. AI-Generated Content and Disclaimer of Advice
The Service utilizes artificial intelligence to generate recommendations, suggestions, estimates, and informational content. While Privé International endeavors to ensure the accuracy and relevance of AI-generated outputs, such content may contain errors, omissions, or inaccuracies. You expressly acknowledge and agree that:
- AI-generated content is provided for informational purposes only and does not constitute professional, legal, financial, medical, or operational advice.
- Price estimates, availability information, and travel recommendations are subject to change and should be independently verified before making any commitment.
- Privé International shall not be liable for any decisions made or actions taken in reliance on AI-generated content.
9. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with these Terms. Without limitation, you shall not: (a) use the Service to engage in any fraudulent, deceptive, or harmful activity; (b) attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service; (c) use automated systems, bots, or scripts to access the Service in a manner that exceeds reasonable usage patterns; (d) interfere with or disrupt the integrity or performance of the Service; or (e) use the Service to infringe upon the intellectual property rights or privacy of any third party.
10. Intellectual Property
All content, software, trademarks, service marks, trade names, logos, and other intellectual property displayed on or through the Service are the property of Privé International or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. No right, title, or interest in any content is transferred to you by virtue of your use of the Service. Reproduction, distribution, modification, or creation of derivative works from any content on the Service without prior written consent from Privé International is strictly prohibited.
11. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy. Voice interactions with Aura may be processed through third-party AI providers; please refer to the Privacy Policy for details on how voice data is handled.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIVÉ INTERNATIONAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
Our aggregate liability for any claim arising from or related to the Service shall not exceed the total amount you paid to Privé International in the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies whether the claim is based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless Privé International and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any rights of a third party.
14. Termination
Privé International reserves the right to suspend or terminate your account and access to the Service at its sole discretion, with or without prior notice, for conduct that we determine violates these Terms, is harmful to other users, the Company, or third parties, or for any other reason. Upon termination, your right to use the Service shall immediately cease. Any provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
15. Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the State of Delaware, United States, unless otherwise agreed by the parties. The arbitrator's decision shall be final and binding. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Privé International.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that any legal proceeding is permitted outside of arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
18. Modifications to Terms
Privé International reserves the right to modify these Terms at any time. Material changes will be communicated through the Service, via email, or by posting the revised Terms with an updated "Last updated" date. Your continued use of the Service following the effective date of any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically to stay informed of any changes.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Privé International with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and the Company.
